Legal Agreement Governing Use of OurGunsMatter Services and Membership

1. Acceptance of Terms

1.1 Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and OurGunsMatter ("we," "us," or "our"), concerning your access to and use of our services, including our website, mobile applications, events, training programs, and membership services (collectively, the "Services").

1.2 Modifications to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms, and you waive any right to receive specific notice of each such change.

1.3 Supplemental Terms

Supplemental terms and conditions or documents that may be posted on our Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.

2. Membership Terms

2.1 Eligibility Requirements

To be eligible for membership, you must:

  • Be at least 18 years of age
  • Be legally eligible to possess firearms under all applicable federal, state, and local laws
  • Have no felony convictions or active restraining orders
  • Complete all required background checks and safety training
  • Agree to abide by our Code of Conduct and all organizational policies

2.2 Membership Application

All membership applications are subject to review and approval. We reserve the right to deny membership to any individual for any reason, including but not limited to:

  • Failure to meet eligibility requirements
  • Provision of false or misleading information
  • Criminal history that poses a safety concern
  • History of violent behavior or threats
  • Membership in organizations that advocate violence or illegal activities

2.3 Membership Fees and Payments

2.3.1 Fee Structure

Membership fees are established by the Board of Directors and are subject to change with 30 days' notice to current members.

2.3.2 Payment Authorization

By providing payment information, you authorize us to charge the applicable fees to your designated payment method.

2.3.3 Refund Policy

Membership fees are generally non-refundable. Partial refunds may be granted at our sole discretion in exceptional circumstances.

3. Code of Conduct

3.1 General Conduct

All members agree to:

  • Conduct themselves in a lawful, ethical, and professional manner at all times
  • Respect the rights and dignity of all individuals
  • Comply with all applicable laws and regulations
  • Maintain the safety and security of all organizational activities
  • Report any safety concerns or policy violations to appropriate leadership

3.2 Prohibited Conduct

Members are strictly prohibited from:

  • Engaging in any unlawful activities
  • Threatening, harassing, or intimidating others
  • Discriminating based on race, color, religion, sex, national origin, age, disability, or any other protected characteristic
  • Impersonating law enforcement officers
  • Brandishing firearms except in lawful self-defense
  • Using organizational resources for personal financial gain
  • Disclosing confidential member information

3.3 Firearm Safety Requirements

All members handling firearms must:

  • Complete required safety training
  • Follow all firearm safety protocols
  • Use appropriate safety equipment
  • Secure firearms when not in use
  • Comply with all range rules and procedures

4. Intellectual Property Rights

4.1 Our Intellectual Property

Unless otherwise indicated, our Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.

4.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Services for your personal, non-commercial use.

4.3 User Contributions

By posting, uploading, or otherwise submitting any content to our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

5. Limitation of Liability and Indemnification

5.1 Assumption of Risk

You acknowledge and agree that your participation in OurGunsMatter activities, including but not limited to firearm training, range activities, and community watch programs, involves inherent risks including risk of property damage, bodily injury, and death. You voluntarily assume all such risks.

5.2 Limitation of Liability

To the fullest extent permitted by applicable law, in no event will we, our affiliates, or our licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our Services, including any indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

5.3 Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Services with whom you connected via the Services.

Liability Cap

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

6. Privacy Policy

6.1 Data Collection

We care about data privacy and security. Please review our Privacy Policy, which also governs your use of our Services, to understand our practices.

6.2 Background Checks

By applying for membership, you consent to background checks as required by our policies. We may use third-party services to verify your eligibility and maintain the safety of our organization.

We may disclose your information if required to do so by law or in the good faith belief that such action is necessary to:

  • Comply with a legal obligation
  • Protect and defend our rights or property
  • Prevent or investigate possible wrongdoing in connection with the Services
  • Protect the personal safety of users of the Services or the public
  • Protect against legal liability

7. Termination

7.1 Termination by You

You may terminate your membership at any time by providing written notice to us. Termination will be effective at the end of your current billing cycle.

7.2 Termination by Us

We may terminate or suspend your membership and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

7.3 Effect of Termination

Upon termination, your right to use our Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law and Dispute Resolution

8.1 Governing Law

These Terms and your use of our Services are governed by and construed in accordance with the laws of the State of Georgia applicable to agreements made and to be entirely performed within the State of Georgia, without regard to its conflict of law principles.

8.2 Informal Resolution

Prior to initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us first through our designated contact methods.

8.3 Binding Arbitration

Any dispute arising from these Terms or your use of our Services shall be resolved through binding arbitration in Liberty, Georgia, in accordance with the American Arbitration Association's rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

8.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. You acknowledge and agree that you are waiving the right to participate as a plaintiff or class member in any purported class action or representative proceeding.

9. Miscellaneous

9.1 Entire Agreement

These Terms, together with any policies or operating rules posted by us, constitute the entire agreement and understanding between you and us and govern your use of our Services.

9.2 Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms.

9.3 No Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

9.4 Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
